These disclosures apply to the Fremont Developers firm and all affiliated operating entities. Plain-English summaries are provided alongside the formal language. If anything is unclear, please contact legal@fremontdevelopers.com.

1. General

Fremont Developers is the umbrella brand for a multi-generational Bay Area real estate firm. The holding entity is Fremont Developers LLC, organized in California with offices in Newark, California.

Affiliated operating entities include:

  • SPSD Developers LLC — project-level entity for multi-family development, including Capitol 101.
  • Golden Years Living LLC — senior housing operations, including Velora Dos Palos.
  • Golden Years Chowchilla LLC — senior housing operations for Golden Years Chowchilla.
  • Tranquil Path LLC — issuer of investor vehicles, including Velora Living Fund I and the Capitol 101 QOZ fund.
  • YKRK — rental and legacy portfolio holdings.

Each entity is separately organized and maintains its own books, insurance, and compliance posture. References to "Fremont Developers" on the Site refer to the firm as a whole; specific offerings and properties are issued or held by the applicable affiliated entity.

2. Real Estate Services

Real estate brokerage services for Fremont Developers properties, including Capitol 101 leasing coordination and Filbert Villas sales, are provided by Neeli Khanna, California Department of Real Estate License #01522444. Fremont Developers is a real estate developer and investment firm; it is not a registered broker-dealer, and nothing on the Site constitutes securities brokerage services. Where securities are offered, they are offered solely through the applicable issuing entity under an exemption from registration described below.

3. Regulation D Rule 506(c) Offerings

This website does not constitute an offer to sell or a solicitation of an offer to buy any securities. Any such offer or solicitation will be made only by means of a Private Placement Memorandum (PPM) delivered to verified accredited investors. Investments involve risk, including possible loss of principal. Past performance is not indicative of future results. Securities are offered through affiliated issuing entities (including Tranquil Path LLC and SPSD Developers LLC) under Regulation D Rule 506(c) of the Securities Act of 1933. All investors must be accredited as defined by SEC Rule 501, and accreditation must be verified by a qualified third party before investment documents are released.

4. EB-5 Immigrant Investor Program

Fremont Developers is not a law firm and does not provide legal or immigration advice. All immigration decisions are made by U.S. Citizenship and Immigration Services (USCIS). Investors are strongly encouraged to engage qualified immigration counsel and a qualified tax advisor before participating in an EB-5 investment. Approval of an I-526E petition does not guarantee conditional permanent residency, and approval of an I-829 petition does not guarantee removal of conditions. EB-5 investments are illiquid, speculative, and subject to significant regulatory, project, and market risk. Capital deployed under the EB-5 program is "at risk" as required by USCIS regulations; this means the investment is not guaranteed and may lose value.

5. Qualified Opportunity Zone (QOZ) Offerings

Information on the Site regarding the Qualified Opportunity Zone program is for educational purposes only and is not tax, legal, or investment advice. The tax benefits of Qualified Opportunity Zone investment depend on individual circumstances, including your capital gain realization date, holding period, and state of residence. California does not fully conform to federal QOZ treatment in all cases; California resident investors may owe state tax on gains that are deferred or eliminated at the federal level. QOZ designations, deadlines, and rules are subject to change by act of Congress or administrative action. 6. Senior Living Licensing

Velora Senior Living communities operate under the California Department of Social Services, Community Care Licensing Division, as Residential Care Facilities for the Elderly (RCFEs).

  • Velora Dos Palos — 2118 Marguerite St, Dos Palos, California. RCFE license application pending (application #TBD).
  • Golden Years Chowchilla — Chowchilla, California. RCFE license #TBD (license number to be posted at property and on Site once finalized).

Care services are provided by Golden Years Living LLC and Golden Years Chowchilla LLC and affiliated operating entities. Each community is staffed by licensed personnel and inspected by the California Department of Social Services. Current inspection reports are publicly available at cdss.ca.gov.

7. Capitol 101

Capitol 101 is a development of SPSD Developers LLC. Apartment leasing will be represented by the Capitol 101 leasing team; Fremont Developers is the development sponsor. Renderings, floor plans, amenities, and interior finishes depicted on the Site are artistic representations and may differ from final construction. 8. Filbert Villas

Filbert Villas is a development of Fremont Developers LLC. Real estate sales are represented by Neeli Khanna, California Department of Real Estate License #01522444.
